Terms of service

These terms govern your use of the Portal Audit app and related reports (the "Service"), provided by [legal entity name] ("we", "us"). By installing the app or using the Service on behalf of an organization, you agree to these terms for that organization ("you").
1. The Service
Portal Audit connects to your HubSpot account with read-only access, analyzes its configuration and data quality, and provides reports and recommendations. Recommendations are advice: you decide whether and how to apply them in your HubSpot account. The Service never changes your HubSpot account.
2. Your account and authority
You confirm that you are authorized to connect the HubSpot account and to let us read the data described in our privacy policy. You are responsible for who in your organization can install or disconnect apps in HubSpot.
3. Fees

4. Acceptable use
You will not use the Service to break the law or anyone's rights, try to access other customers' data, probe or overload the Service, or resell it without our written permission. You must also comply with HubSpot's Acceptable Use Policy for your HubSpot account.
5. Your data
You keep all rights to your data. You give us permission to access and process it only to provide the Service, as described in the privacy policy. [If you serve EU/UK customers: our data processing addendum, available on request, forms part of these terms.]
6. Our materials
The Service, its software, report templates and methodology belong to us. You may use the reports we deliver for your internal business purposes, including sharing them with your advisers.
7. HubSpot
HubSpot is a third party. We are not responsible for HubSpot's products, availability or changes to its API, and HubSpot does not endorse the Service. If HubSpot changes or withdraws an API we rely on, parts of the Service may stop working.
8. Disconnecting and ending the Service
You can disconnect at any time (see the setup guide). We may suspend or end the Service with notice, or immediately if you breach these terms. After disconnection we delete your data as described in the privacy policy.
9. Warranties
We provide the Service with reasonable skill and care. Otherwise, to the extent the law allows, the Service and reports are provided "as is", without warranties of any kind, including fitness for a particular purpose. Audit findings depend on the data and permissions HubSpot makes available and may be incomplete.
10. Liability
To the extent the law allows, neither party is liable for indirect or consequential losses, lost profits or lost data, and our total liability for any claim relating to the Service is limited to [the fees you paid us in the 12 months before the claim / USD 100 if the Service is free]. Nothing limits liability that cannot be limited by law.
11. Changes to these terms
We may update these terms. We will post the new version here and, for material changes, notify the contact on file at least 30 days before they take effect. Continued use after that means you accept them.
12. General
These terms are governed by the laws of [state/country], and disputes go to the courts of [venue]. If a provision is unenforceable, the rest stays in effect. These terms, together with any order or engagement letter, are the whole agreement about the Service.
